These terms explain the general rules for using this website and working with Michael Oldes. A written proposal, invoice, or separate service agreement may include additional terms. If a signed agreement conflicts with these terms, the signed agreement controls.
Acceptance of these terms
By using this website, submitting an inquiry, using the AI chatbot, or purchasing services from Michael Oldes, you agree to these Terms of Service and the Privacy Policy. If you do not agree, do not use the website or services.
Services
Michael provides practical AI and website-related services for businesses. These may include custom website chatbots, a private conversation CRM, lead qualification workflows, automations, AI agents, installation, adjustments, and optional ongoing support.
Website descriptions are general summaries. The exact deliverables, timeline, integrations, responsibilities, and price for a project will be stated in the applicable proposal, invoice, email confirmation, or service agreement.
Pricing, deposits, and payment
- The advertised $400 chatbot and CRM price is a one-time starting package for the scope described on the website.
- A 50% deposit may be required before project work begins.
- The remaining balance is due when the agreed solution has been built, tested, and is ready to deploy, unless different payment terms are provided in writing.
- Custom AI agents and work outside the base package are separately scoped and priced.
- Hosting, AI-provider usage, third-party subscriptions, and optional ongoing support are separate unless expressly included in writing.
Cancellations, refunds, and credits will be handled according to the written project terms and the amount of work already completed. Third-party charges incurred for a project may not be refundable.
Timelines and adjustments
Any launch or completion time shown on the website is an estimate unless a specific deadline is accepted in writing. Timely completion depends on receiving requested information, content, access, approvals, and feedback from the client.
The chatbot and CRM package includes 14 days of reasonable adjustments within the original project scope. New features, substantial redesigns, new integrations, or changes outside the agreed scope may require additional payment.
Client responsibilities
Clients are responsible for:
- Providing accurate business information, policies, instructions, and content.
- Having permission to use any text, images, trademarks, customer data, accounts, or systems supplied for the project.
- Reviewing and approving chatbot instructions, qualification rules, and final deliverables before launch.
- Using the services lawfully and maintaining appropriate human oversight of AI-generated responses and automated actions.
- Protecting passwords, dashboard access, API credentials, and other account information.
AI limitations and human review
AI systems can produce incomplete, incorrect, outdated, or unexpected responses. No chatbot or AI agent is guaranteed to answer every question correctly, qualify every lead accurately, operate without interruption, or produce a particular business result.
Clients should review AI behavior regularly and use human judgment before relying on AI-generated information or actions. The services are not designed to provide legal, medical, financial, tax, or other licensed professional advice.
Third-party services
A project may rely on third-party hosting, AI models, databases, email services, calendar tools, APIs, or other platforms. Those providers have their own terms, privacy practices, availability, limits, and pricing. Michael does not control third-party service changes, outages, discontinued features, or price increases.
The client is responsible for third-party accounts and charges assigned to the client unless a written agreement states otherwise.
Intellectual property
Clients retain ownership of the business content, trademarks, data, and other materials they provide. Michael retains ownership of pre-existing tools, templates, methods, reusable components, and general technical knowledge.
Ownership or licensing of custom project deliverables will be described in the applicable written agreement. No website content, code, design, or materials may be copied, resold, or redistributed without permission unless the law allows it.
Acceptable use
You may not use the website or services to:
- Break the law, violate another person's rights, or facilitate fraud or deception.
- Transmit malware, attempt unauthorized access, interfere with service operation, or bypass security controls.
- Submit passwords, payment-card data, highly sensitive personal information, or confidential information through the public chatbot.
- Use automated methods to overload, scrape, copy, or abuse the website, chatbot, or related APIs.
- Misrepresent AI-generated content as guaranteed, verified, or professional advice.
Privacy and conversation records
Information submitted through the website and chatbot is handled as described in the Privacy Policy. Chatbot conversations may be stored in a private dashboard for lead management, follow-up, troubleshooting, and service improvement.
No guarantee of results
Examples, demonstrations, estimates, and descriptions show how a solution may work. They are not promises of a particular number of leads, sales, appointments, savings, revenue, response accuracy, or other business outcome. Results depend on factors outside Michael's control, including website traffic, the client's offer, customer demand, follow-up, third-party services, and how the solution is used.
Disclaimers
To the fullest extent permitted by applicable law, the website and any demonstration are provided on an "as is" and "as available" basis. Michael does not guarantee uninterrupted availability, error-free operation, or compatibility with every website, device, browser, or third-party platform.
Limitation of liability
To the fullest extent permitted by applicable law, Michael will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business opportunities, lost data, or third-party service failures arising from use of the website or services.
Unless a signed agreement states otherwise, Michael's total liability for a paid service will not exceed the amount the client paid for the specific service giving rise to the claim. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.
Suspension or termination
Access to the website, chatbot, CRM, support, or other services may be limited or terminated for nonpayment, unlawful use, security threats, abuse, material breach of an agreement, or conduct that could harm other people or systems. Where reasonable, an opportunity to correct the issue may be provided first.
Changes to these terms
These terms may be updated as the website, services, pricing, or service providers change. The revised date at the top of this page will show when the latest update was made. Changes apply going forward and do not replace the terms of an existing signed agreement unless both parties agree.
